MISSION STATEMENT

THE IDEA BEHIND THE PROJECT:

The purpose of the Instituto Gobernanza y Sociedad is to contribute to the improvement of corporate governance practices (listed and unlisted) and of organizations or associations (public, semi-public and private) in the context of the positive impact that these institutions must have for the best performance of the economy and society.

THE MANIFESTO:

Good governance is an area of rapid evolution and of great relevance for the economy and society as a whole. In Spain, for about two decades, the adaptation of corporate and associative practices to what has been called Good Governance has improved markedly. The distance covered, still remarkable, is still insufficient in part because of the constant changes in the context, as well as the partial incorporation, especially of the spirit of these standards, to companies and institutions.

OUR PURPOSE:

The institute intends to accelerate this process of adapting governance practices to the changing needs of society, delving into such core issues as:

  • The evaluation, control and behaviour reinforcement system of the management teams so that they manage the short term in detriment of the long term.
  • The impartiality, independence and effectiveness of the directors and committees that make up the highest governing bodies.
  • The desirable evolution of regulatory frameworks.
  • The adaptability of organizations through structures and cultures that promote the primacy of objectives and purpose over form.
  • The opportunities for creating more value shared with society.
  • The psychological roots of the accumulation of behavioural disorders known as the “excessive power striving” and the opportunities for good governance and avoiding it in the key executives of the organization.

THE VALUES OF THE INSTITUTE:

The purpose and tasks of the Institute are governed by values such as transparency, absence of conflicts of interest, the spirit of service and improvement, ethics, professional excellence, internalization and collaboration with other Institutes whose vocation is similar to ours.

ACTIVITIES:

The Institute’s activities are seminars, conferences, information on experiences, cases and good practices, and collaboration with other entities and organizations in this field.

The Institute has Collaborating Companies and Individual Members. It is organized legally as non-profit Association “Instituto Gobernanza y Sociedad”.
